These Terms of Service ("Agreement") govern access to and use of Inspectra360 (the "Service") by subscribing organizations ("Customer").
By accessing or using the Service, Customer agrees to be bound by this Agreement.
1. License Grant
Subject to payment of applicable fees, Inspectra360 grants Customer a limited, non-exclusive, non-transferable license to access and use the Service for internal business purposes.
2. Authorized Users
Customer may grant access only to:
- Employees
- Contractors
- Authorized representatives
Customer is responsible for all actions taken under its accounts.
3. Customer Responsibilities
Customer agrees to:
- Provide accurate information
- Maintain confidentiality of credentials
- Configure business rules appropriately
- Ensure compliance with labor laws and regulations
- Verify payroll exports before submission to payroll providers
Inspectra360 calculates outputs based on rules configured by Customer. Customer retains responsibility for final payroll decisions.
4. Data & Compliance
Customer represents that it has the legal right to upload and process all data submitted.
Inspectra360 is not responsible for:
- Labor law compliance decisions
- OSHA compliance determinations
- NRC licensing compliance
- Certification validity beyond system tracking
The platform provides tracking tools, not legal advice.
5. Payment Terms
- Fees are billed per subscription agreement
- Failure to pay may result in suspension
- Fees are non-refundable unless otherwise agreed in writing
6. Intellectual Property
Inspectra360 retains all rights, title, and interest in:
- Software code
- Platform architecture
- Trademarks
- Documentation
Customer retains ownership of operational data.
7. Confidentiality
Both parties agree to protect confidential information exchanged during the subscription period.
8. Service Availability
We strive for high uptime but do not guarantee uninterrupted availability. Scheduled maintenance may occur with reasonable notice.
9. Limitation of Liability
To the maximum extent permitted by law, Inspectra360 shall not be liable for:
- Indirect or consequential damages
- Lost profits
- Business interruption
- Payroll miscalculations resulting from incorrect configuration
Total liability shall not exceed the amount paid by Customer in the preceding 12 months.
10. Indemnification
Customer agrees to indemnify Inspectra360 against claims arising from:
- Improper use of the Service
- Violation of laws
- Uploaded content
11. Termination
Either party may terminate:
- For material breach
- For non-payment
- Upon expiration of subscription term
Upon termination:
- Access is revoked
- Data export window may be provided
- Data may be deleted after a defined retention period
12. Governing Law
This Agreement shall be governed by the laws of the State of California, United States.
13. Modifications
We may update these Terms periodically. Continued use constitutes acceptance.
